Initial exploration
Keep first contact nonconfidential: general technology area, public patent number, broad market challenge, institutional affiliation and preferred next step. Do not send undisclosed invention details, unpublished patent applications, proprietary processes, customer data, controlled research, patient information, sensitive student data or third-party confidential materials.
Formal confidentiality review
Where a project warrants restricted exchange, authorized parties should negotiate and execute an NDA or other appropriate agreement identifying the parties, purpose, permitted users, protected material, exclusions, term, disclosure duties, permitted independent work and handling/disposal obligations before exchanging secrets.
Institutional authority
Faculty, students, postdocs and company staff may not have authority to bind their employer or institution. Institutional contracting, research administration, technology-transfer and other appropriate offices must approve participation, sponsored development, data use and invention treatment where required.
IP stays separate
An NDA is not a license, material-transfer agreement, ownership assignment, sponsored research contract or commitment to commercialize. Foreground IP, publications, data rights, compensation, expenses and commercialization rights require separately reviewed documents.
